Terms and Conditions

1. General Terms

These Terms and Conditions ("Terms") govern your access to and use of the Coliving M&A Hub ("Platform", "Service"), operated by Everything Coliving ("Company", "we", "us", "our"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Platform.

The Coliving M&A Hub is a subscription-based marketplace that connects sellers of coliving businesses with prospective buyers. The Platform facilitates listing, discovery, and communication — it does not act as a broker, agent, or fiduciary for any party.

2. Definitions

  • "User" means any individual or entity that creates an account on the Platform.
  • "Seller" means a User who lists a coliving business for sale on the Platform.
  • "Buyer" means a User who browses, evaluates, or inquires about listed businesses.
  • "Listing" or "Deal" means any business-for-sale listing created on the Platform.
  • "Subscription" means the paid monthly membership required to access full Platform features.
  • "Content" means any text, data, images, documents, or materials submitted to the Platform.
  • "Anonymized Profile" means a Listing where identifying information has been removed or obscured by the Platform's AI anonymization engine.

3. Acceptance of Terms

By creating an account, subscribing, or otherwise using the Platform, you represent and warrant that:

  • You are at least 18 years of age.
  • You have the legal capacity and authority to enter into these Terms.
  • If acting on behalf of a company or organization, you have the authority to bind that entity to these Terms.
  • All information you provide is accurate, current, and complete.
  • You will comply with all applicable laws and regulations in connection with your use of the Platform.

4. Account Registration

To access the Platform, you must create an account by providing your name, email address, and a secure password. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to: (a) provide accurate and complete registration information; (b) promptly update your information if it changes; (c) immediately notify us of any unauthorized use of your account; and (d) not share your account credentials with any third party.

We reserve the right to suspend or terminate accounts that we reasonably believe are being used in violation of these Terms.

5. Subscription and Payment

5.1 Subscription Plans

The Platform operates on a monthly subscription model at $49 per month ("Subscription Fee"). The Subscription provides full access to all Platform features, including browsing deals, viewing detailed financials, messaging sellers, listing businesses for sale, and saving deals.

5.2 Billing

Subscription Fees are billed monthly in advance. Payment is processed through our payment partner, Razorpay. By subscribing, you authorize us to charge your selected payment method on a recurring monthly basis.

5.3 No Commissions

The Platform does not charge any commissions, success fees, finder's fees, or transaction-based costs. The monthly Subscription Fee is the only charge.

5.4 Cancellation

You may cancel your Subscription at any time from your account settings. Upon cancellation, you will retain access to the Platform until the end of your current billing period. No refunds are provided for partial billing periods.

5.5 Price Changes

We reserve the right to modify the Subscription Fee with at least 30 days' advance notice. Price changes will take effect at the start of the next billing cycle following the notice period.

6. Platform Services

The Coliving M&A Hub provides the following services:

  • Deal Listing: Sellers can create detailed business listings through a guided wizard that collects business information, financials, operations data, and deal terms.
  • AI Anonymization: The Platform automatically anonymizes identifying information in listings, including company names, exact locations, and specific financial figures, to protect seller privacy.
  • Deal Discovery: Buyers can browse, search, and filter active listings by region, price range, property type, bed count, and other criteria.
  • Direct Messaging: Subscribers can communicate directly with sellers through the Platform's secure messaging system.
  • Deal Pipeline: Users can save listings and track conversations from a centralized dashboard.

7. User Obligations

7.1 Seller Obligations

If you list a business on the Platform, you represent and warrant that:

  • You have the legal right and authority to sell or offer for sale the listed business.
  • All information provided in your listing is accurate, truthful, and not misleading.
  • You will promptly update or correct any information that becomes inaccurate.
  • You will respond to legitimate buyer inquiries in a timely and professional manner.
  • You will not list businesses that are subject to legal disputes, liens, or encumbrances that would prevent a sale without disclosure.

7.2 Buyer Obligations

If you use the Platform to evaluate or inquire about businesses, you agree to:

  • Conduct your own independent due diligence before entering into any transaction.
  • Not attempt to reverse-engineer the anonymization of any listing to identify the seller or business without the seller's consent.
  • Treat all information obtained through the Platform as confidential.
  • Not use the Platform to solicit, spam, or harass sellers.
  • Engage in good-faith negotiations and communications.

8. Prohibited Conduct

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of any applicable law.
  • Submit false, misleading, or fraudulent information.
  • Attempt to circumvent the Platform's anonymization features.
  • Scrape, harvest, or collect data from the Platform using automated means.
  • Interfere with or disrupt the Platform's operation or security.
  • Impersonate another person or entity.
  • Use the Platform to facilitate money laundering, fraud, or other illegal activities.
  • Share, redistribute, or publish listings or their contents outside the Platform.
  • Create multiple accounts to circumvent subscription requirements or bans.
  • Attempt to contact sellers or buyers outside the Platform to avoid subscription fees.

9. Content and Intellectual Property

9.1 User Content

You retain ownership of all Content you submit to the Platform. By submitting Content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your Content solely for the purpose of operating and providing the Platform services.

9.2 Platform Content

All Platform content, including but not limited to the website design, logos, text, graphics, software, and AI algorithms, is the property of Everything Coliving and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from Platform content without our express written permission.

9.3 Feedback

Any feedback, suggestions, or ideas you provide regarding the Platform may be used by us without any obligation to compensate you.

10. Data Privacy and Confidentiality

We are committed to protecting your privacy. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

All financial data, business information, and deal details shared on the Platform are treated as confidential. Users agree not to disclose any information obtained through the Platform to third parties without the express consent of the information owner.

The Platform's AI anonymization engine processes listing data to remove identifying information. While we employ commercially reasonable measures to ensure effective anonymization, we cannot guarantee that anonymized data cannot be re-identified through external information.

11. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We specifically disclaim any warranty that:

  • The Platform will be uninterrupted, timely, secure, or error-free.
  • Any information provided through the Platform is accurate, complete, or reliable.
  • Any listing represents a viable or legitimate business opportunity.
  • Any transaction facilitated through the Platform will be successful.
  • The AI anonymization will be perfectly effective in all cases.

12. No Broker or Fiduciary Relationship

Everything Coliving is NOT a broker, dealer, investment advisor, or fiduciary. The Platform is a marketplace that connects buyers and sellers — it does not participate in negotiations, valuations, due diligence, or transactions.

All financial data displayed on the Platform is self-reported by sellers. Everything Coliving does not independently verify, audit, or guarantee any financial information, business claims, or representations made by users.

Users are strongly advised to engage qualified professionals (lawyers, accountants, business valuators, and industry consultants) before entering into any transaction.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EVERYTHING COLIVING, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages.
  • Any loss of profits, revenue, data, or business opportunities.
  • Any damages arising from transactions between users.
  • Any damages resulting from unauthorized access to or alteration of your data.
  • Any damages exceeding the total Subscription Fees paid by you in the twelve (12) months preceding the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless Everything Coliving and its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use of the Platform.
  • Your violation of these Terms.
  • Your violation of any third-party rights.
  • Any Content you submit to the Platform.
  • Any transaction you enter into with another user.

15. Dispute Resolution

15.1 Between Users

Disputes between users (including disputes arising from transactions) are the sole responsibility of the involved parties. Everything Coliving is not a party to and has no obligation to mediate or resolve disputes between users.

15.2 Between Users and the Platform

Any dispute arising from these Terms or your use of the Platform shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, the dispute shall be submitted to binding arbitration in accordance with the rules of the applicable arbitration authority in the jurisdiction of the Company's registered office.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. You consent to the exclusive jurisdiction of the courts located in New Delhi, India for any legal proceedings arising from these Terms.

17. Termination

We may suspend or terminate your account and access to the Platform at any time, with or without cause, and with or without notice. Grounds for termination include but are not limited to:

  • Violation of these Terms.
  • Fraudulent or illegal activity.
  • Failure to pay Subscription Fees.
  • Extended inactivity.
  • At our sole discretion for any reason.

Upon termination, your right to use the Platform ceases immediately. Sections of these Terms that by their nature should survive termination shall continue in effect, including but not limited to Sections 9, 10, 11, 13, 14, 15, and 16.

18. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated to users via email or through a notice on the Platform at least 14 days before they take effect. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the modified Terms.

19. Third-Party Services

The Platform integrates with third-party services including payment processors (Razorpay), cloud infrastructure providers, and AI services. Your use of these third-party services is subject to their respective terms and conditions. We are not responsible for the availability, accuracy, or content of any third-party services.

20. Force Majeure

Everything Coliving shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to natural disasters, acts of war, terrorism, pandemics, government actions, power failures, internet outages, or other force majeure events.

21. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
